Contracts:

We will review most types of contract to explore legal remedies and for drafting to meet the agreement of the minds of the parties involved, including: residential and commercial leases, purchase contracts, independent contractor agreements, employment contracts, shareholder and partnership agreements. 

General Counsel/Corporate Governance:

Advising the management of a business regarding board meetings, maintenance of corporate minutes, director and officer duties, conflicts of interests and additional corporate duties. 

Due Diligence:

Auditing corporate minute books, assisting in the preparation of due diligence associated with an acquisition or a sale of a business, reviewing and indexing disclosure documents, general corporate clean-up of board of directors and shareholder records.  

Corporate Transactions:

Negotiating and drafting documents for all types of corporate transactions, joint venture agreements, or the transfer of shares or assets in a business.   

Franchising and Licensing:

Drafting and negotiating of franchise and licensing agreements from the due diligence and initial stages through the execution of the final documents, exhibits, and disclosures.   

Mergers and Acquisitions:

Negotiating and drafting the sale of businesses, reverse mergers, reorganization and restructuring, asset acquisitions/dispositions, strategic corporate alliances, and leveraged buyouts.   

Labor and Employment:

Advise on all aspects of employment matters, including compliance with labor laws and regulations, drafting of employment contracts, transaction support from due diligence to post-deal integration, independent investigations, responses to administrative charges (including EEOC filings), and claims management.   

Collections:

Handling all aspects of debt recovery including non-judicial and judicial collection processes as required by state law.   

Litigation:

Management of litigation from start to finish, dispute resolution, and/or mediation and arbitration process.
